1. Acceptance of Terms

By accessing or using the ALL LUV Natural Products Inventory & Product Sync Agent (the "Application"), you agree to be bound by the terms of this End-User License Agreement ("Agreement"). If you do not agree to these terms, do not use the Application.

2. Description of the Application

The Application is an internal software tool developed for Rhumb Line Natural Products LLC. It connects to the QuickBooks Online API and the Shopify API to synchronize product records, inventory quantities, and pricing information for the ALL LUV Natural Products product line, with QuickBooks Online serving as the system of record.

3. License Grant

Subject to your compliance with this Agreement, the Company grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Application solely for legitimate business purposes on behalf of Rhumb Line Natural Products LLC. This license is granted only to individuals authorized by the Company.

4. Ownership

The Application, including all software, workflows, and documentation, is and remains the property of Rhumb Line Natural Products LLC. This Agreement does not transfer any ownership rights to you.

5. Restrictions

You may not: (a) use the Application for any purpose outside authorized Rhumb Line Natural Products LLC business operations; (b) copy, modify, distribute, sell, or sublicense the Application; (c) reverse engineer, decompile, or attempt to extract the source code of the Application, except to the extent applicable law expressly permits; or (d) use the Application in a manner that violates the terms of service of QuickBooks Online or Shopify.

6. Third-Party Services

The Application relies on third-party platforms, including Intuit QuickBooks Online and Shopify, to function. Your use of those platforms remains subject to their respective terms of service and privacy policies. The Company is not responsible for the availability, accuracy, or performance of these third-party services.

7. Disclaimer of Warranties

The Application is provided "as is" and "as available," without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement. The Company does not warrant that the Application will be uninterrupted, error-free, or that data synchronization will always be accurate or timely.

8. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of, or inability to use, the Application, including but not limited to data loss or inventory discrepancies.

9. Term and Termination

This Agreement remains in effect until terminated. The Company may suspend or terminate your access to the Application at any time, for any reason, including if your authorization to act on behalf of Rhumb Line Natural Products LLC ends.

10. Governing Law

This Agreement is governed by the laws of the State of Arizona, without regard to its conflict of laws principles.

11. Changes to This Agreement

The Company may update this Agreement from time to time. Continued use of the Application after changes are posted constitutes acceptance of the revised Agreement.
